SHRINE STUDIOS, LLC. RECIPROCAL NON-DISCLOSURE AGREEMENT​​

By accessing this website and agreeing to the terms below, you (“Receiving Party”) agree to the following Non-Disclosure Agreement (“Agreement”) with Shrine Studios LLC (“Disclosing Party”).

1. Confidential Information

“Confidential Information” refers to all non-public information disclosed by the Disclosing Party to the Receiving Party through this website or other means, whether written, electronic, or oral, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.

2. Obligations of the Receiving Party

By agreeing to this NDA, you acknowledge and agree to:

a) Keep Confidential: Maintain the confidentiality of the Confidential Information and not share it with any third party without prior written consent from the Disclosing Party.

b) Restricted Use: Use the Confidential Information only for the purpose of [Specify Purpose, e.g., evaluating a business opportunity].

c) Protection: Protect the Confidential Information using the same level of care as you use for your own confidential information, but no less than a reasonable standard of care.

3. Exclusions from Confidentiality

This NDA does not cover information that:

• Was publicly available at the time of disclosure or becomes public through no fault of the Receiving Party.

• Was lawfully known to the Receiving Party prior to disclosure.

• Is independently developed by the Receiving Party without reference to the Confidential Information.

• Is required to be disclosed by law or court order, provided the Receiving Party notifies the Disclosing Party in advance (to the extent legally permissible).

4. Term

This Agreement remains in effect for 5 years from the date of disclosure of the Confidential Information.

5. Return or Destruction of Information

Upon request, you agree to return or securely destroy all Confidential Information, including copies, and certify such destruction if requested by the Disclosing Party.

6. No License or Obligation

This NDA does not grant any rights, licenses, or ownership to the Confidential Information and does not create any obligation to enter into further agreements or business relationships.

7. Governing Law

This Agreement is governed by the laws of Nevada, without regard to its conflict of laws principles.

8. Acknowledgment and Agreement
